1) You will not pursue any property without the use of SVN | Toomey Property Advisors. Any action that is taken by you to purchase properties owned will require the purchaser to pay a 6% brokerage fee to SVN Toomey Property Advisors.

 

2) Neither party may issue any public disclosures or statements regarding this Agreement or the subject matter thereof without the prior written consent of the other party.

3) This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama without reference to its choice of law rules and as if wholly performed within Alabama. Any judicial action or proceeding between the parties relating to this Agreement must be brought in the federal or state courts located in the State of Alabama. Each party consents to the jurisdiction of such courts, agrees to accept service of process by mail, and hereby waives all jurisdictional and venue defenses otherwise available to it. If any provision of this Agreement is held to be illegal, invalid or unenforceable, the legality, validity and enforceability of the remaining provisions will not be affected or impaired.

4) This Agreement sets forth the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes any prior or contemporaneous oral (or any prior written) agreements concerning such subject matter. This Agreement does not create an agency, partnership, joint venture or other such business arrangement; and any agreement between the parties as to joint business activities will be set forth in other written agreements.


5) If Recipient fails to comply with any obligations hereunder, Discloser will suffer immediate, irreparable harm for which monetary damages will provide inadequate compensation. Accordingly, Discloser will be entitled, in addition to any other remedies available to it at law or in equity, to injunctive relief to specifically enforce the terms of this Agreement, without the necessity of posting a bond even if otherwise normally required. If any litigation is brought by either party regarding the interpretation or enforcement of this Agreement, the prevailing party will recover from the other all reasonable costs, attorney fees and other expenses incurred by the prevailing party.
